Benefits and Advantages
 

Marcus R. Piquet, Senior Managing Director, Ambrose Advisors, ESOP Consulting, will discuss Employee Stock Ownership Plans (“ESOPs”) seem to be more popular than ever due to a retiring baby-boomer generation of business owners, higher capital gains tax rates, healthy private company valuations, and a robust credit market.  This presentation will describe ESOPs and illustrate their most typical use as a tax-advantaged leveraged buyout vehicle.  We will compare a hypothetical ESOP buyout to an asset sale or stock sale to a third-party.  We will address transaction costs and the professionals involved, and finally address pro’s and con’s of the ESOP structure.

About Our Presenter

Marcus R. Piquet, Senior Managing Director, ESOP Consulting, helped to establish the predecessor to Ambrose ESOP Advisors, LLC in 2002, initially as a response to demand for better TPA services from the ESOP clients of its sister CPA firm. Since that time Marcus has become a trusted advisor to scores of ESOP-owned companies in California, Hawaii, DC Metro, and throughout the nation. Marcus’ passion is for helping companies maximize the value they receive from their ESOPs by helping them truly understand and make sense of the many complicated issues they face.
Marcus consults on ESOP suitability studies, technical compliance testing, repurchase obligation forecasting, and is a national expert on GAAP ESOP accounting and tax reporting. He is an active member of the nation’s two largest employee ownership advocacy organizations, The ESOP Association (“TEA”), the National Center for Employee Ownership (“NCEO”), and Employee-Owned S Corporations of America (“ESCA”). He is also a member of TEA’s national Finance Committee as well as the Interdisciplinary Advisory Committee on Fiduciary Issues, and a regular speaker at the Association’s national conferences and chapter. Marcus is a true believer in the power of employee ownership in a successful organization, and enjoys keeping up-to-the-minute on the many technical aspects of ESOP implementation, administration, accounting, and monitoring. He was recently invited to join the ESOP Administration Subcommittee of the American Society of Pension Professionals & Actuaries (“ASPPA”).

 
The webinar will provide two continuing education credits for  for ASPPA, NIPA, JBEA, ERPA, MCLE CA, CPA CE for CA and OR.
